有在美国参与过房地产买卖交易的人，如果一切顺利那当然开心过户，一手交钱一手交屋大家皆大欢喜；但如果过程不是那么顺利，也许会听到亲朋好友或经纪人、律师说：赶快放Lien，仿佛放lien是一个头等重要大事、宛如买乐透一样机不可失。 到底什么是放Lien? 笔者作为执业律师，常常也会被问到这个基本问题。虽说算是基本问题，但如果不是专业在这方面的律师，可能也未必了解到底什么是放lien。其实所谓的放lien，一般来说就是某种公开的留置权登记，能够让卖家在卖房产的时候难以交易过户，因为它通常是某种产权上面的负担。 常见的lien类型，例如卖家的贷款 (Mortgage Lien)、建筑工程留置权(Mechanic’s Lien)等等。在产权公司做调查时如果查到这些Lien的存在，产权公司 往往会把这些Lien作为示警，表示一定要清掉这些产权的可能障碍才能过户。 除了这种因为欠银行钱或者工程技师费用产生的lien之外，还有一种在买卖交易里面最常出现的登记， 英美普通法称为Lis Pendens，从拉丁语直翻”Lawsuit Pending”，也就是有诉讼正在

原创： 杨司律师 2017年底,川普签署的税改方案,对很多高净值人士无疑是个喜讯: 遗产免税额翻倍,等效于凭空省下几百万遗产税。 拜登当选后,这个话题又重回风口浪尖。拜登竞选时立下口号,要把免税额降到三百万,不到当前额度的三分之一。 然而过去一年,尽管新政府推出一个又一个税务法案,遗产税改却始终没有动静。利益相关人士翘首以盼,直到2022新年钟声敲响,才长舒一口气:看来拜登政府是把遗产税这事抛在脑后了。 那么,是否我们真就可以高枕无忧,安心把千万资产免税传承给孩子呢? 什么是遗产税与赠予税 在美国,只有死亡和交税不可避免。 在诸多繁杂的税务种类中,有一个税种为所有人避之唯恐不及,那就是遗产与赠与税(Estate and Gift Tax)。 原因很简单:遗产与赠与税的税率高达40%!再加上各州的州遗产税,很容易导致过半遗产值都被拿去缴税的情况。 有这样一个案子,逝者遗产里有一套价值五十万的房产,遗产税算下来要交二十五万。麻烦的是房产还没办法在短时间内变现,子女只能在低价抛售和迟交利息之间犹豫不决,做艰难的权衡取舍。 为什么遗产税和赠予税被放在同一

来自世界日报周刊 记者 韩杰 有了孩子后，也是设立遗产信托的指针 纽约华人律师杨司已经从事遗产规画（estate planning）的法律业务多年了。他说，意外何时发生很难预料，但有防范意识总是好的。许多客人知道设立家庭信托（trust）是遗产规画的一个方式，但不知何时设立信托比较好。他建议，设立信托不是越早越好，而是要选择「适当时机」，即家庭结构稳定时最适当。 他说，家庭稳定包括结婚后或者孩子出生后家庭关系稳定。若是准备离婚时，就不要设立信托，因为这时家庭不是稳定的。同时，家庭发生变故后，要对信托及时更新。例如，有人已经离婚，但未更改信托，当事人去世后前妻或前夫就可以继承遗产，而「这显然不是信托设立人所希望的」。同时，若是相关法律改变时，也要修改信托中的某些条款。 如果夫妻准备离婚，就不应设立遗产信托。 想好遗产规画 杨司说，与主流社会相比，美国华人做遗产规画的比率「还是偏低」。他说，这主要是有以下几个原因。一、许多人不知道要做遗产规画，因为中华传统文化中没有遗产规画这一项，而且很多人也避讳谈起。「遗产规画的很多任务具如信托等都是西方人发明出来
