有在美国参与过房地产买卖交易的人,如果一切顺利那当然开心过户,一手交钱一手交屋大家皆大欢喜;但如果过程不是那么顺利,也许会听到亲朋好友或经纪人、律师说:赶快放Lien,仿佛放lien是一个头等重要大事、宛如买乐透一样机不可失。 到底什么是放Lien? 笔者作为执业律师,常常也会被问到这个基本问题。虽说算是基本问题,但如果不是专业在这方面的律师,可能也未必了解到底什么是放lien。其实所谓的放lien,一般来说就是某种公开的留置权登记,能够让卖家在卖房产的时候难以交易过户,因为它通常是某种产权上面的负担。 常见的lien类型,例如卖家的贷款 (Mortgage Lien)、建筑工程留置权(Mechanic’s Lien)等等。在产权公司做调查时如果查到这些Lien的存在,产权公司 往往会把这些Lien作为示警,表示一定要清掉这些产权的可能障碍才能过户。 除了这种因为欠银行钱或者工程技师费用产生的lien之外,还有一种在买卖交易里面最常出现的登记, 英美普通法称为Lis Pendens,从拉丁语直翻”Lawsuit Pending”,也就是有诉讼正在

原创 蔡璧徽律师 大家都知道「鸡蛋不要放在一个篮子里」,这个老生常谈、分散风险的道理。美国的房地产,由于相对具有保值的特性,可说是海外投资人在选择投资标的时的热门选择之一,可作为用来平衡其他高风险高报酬类型投资(如股票)的投资工具。除此之外,也有许多外国投资人,由于安排子女在美国求学或者自己来美经商工作,也会常常购买房子给自己或子女居住使用。 实际上,在疫情市场动荡之前一年,外国人买房就占了740亿美金的市场 ,而在高峰的2017年外国买家甚至花1530亿美金买美国房产,可见美国房地产受欢迎程度、以及对全球资本的吸纳能力了。 先来谈定义:什么叫做外国人? 在美国买房的外国人中,大约有6成是旅居美国的外国人,通常是持有工作签证或者新移民。根据统计,在美国置产的外国人偏好的购买区域都是受欢迎的都会大州,前几名包括佛州、加州、德州、纽约跟纽泽西等,估计就是因为这些外国人都是自己居住的需求为主,也因此这些人口大州都会区受到欢迎;只有大概四成的外国买家是纯投资客,买房不是自住使用 。 也因此,在讨论外国人买房的时候,可能还要进一步区分:到底外国人指的是什么

原创: 杨司律师 2017年底,川普签署的税改方案,对很多高净值人士无疑是个喜讯: 遗产免税额翻倍,等效于凭空省下几百万遗产税。 拜登当选后,这个话题又重回风口浪尖。拜登竞选时立下口号,要把免税额降到三百万,不到当前额度的三分之一。 然而过去一年,尽管新政府推出一个又一个税务法案,遗产税改却始终没有动静。利益相关人士翘首以盼,直到2022新年钟声敲响,才长舒一口气:看来拜登政府是把遗产税这事抛在脑后了。 那么,是否我们真就可以高枕无忧,安心把千万资产免税传承给孩子呢? 什么是遗产税与赠予税 在美国,只有死亡和交税不可避免。 在诸多繁杂的税务种类中,有一个税种为所有人避之唯恐不及,那就是遗产与赠与税(Estate and Gift Tax)。 原因很简单:遗产与赠与税的税率高达40%!再加上各州的州遗产税,很容易导致过半遗产值都被拿去缴税的情况。 有这样一个案子,逝者遗产里有一套价值五十万的房产,遗产税算下来要交二十五万。麻烦的是房产还没办法在短时间内变现,子女只能在低价抛售和迟交利息之间犹豫不决,做艰难的权衡取舍。 为什么遗产税和赠予税被放在同一

防患未然 择机设立信托
来自世界日报周刊 记者 韩杰 有了孩子后,也是设立遗产信托的指针 纽约华人律师杨司已经从事遗产规画(estate planning)的法律业务多年了。他说,意外何时发生很难预料,但有防范意识总是好的。许多客人知道设立家庭信托(trust)是遗产规画的一个方式,但不知何时设立信托比较好。他建议,设立信托不是越早越好,而是要选择「适当时机」,即家庭结构稳定时最适当。 他说,家庭稳定包括结婚后或者孩子出生后家庭关系稳定。若是准备离婚时,就不要设立信托,因为这时家庭不是稳定的。同时,家庭发生变故后,要对信托及时更新。例如,有人已经离婚,但未更改信托,当事人去世后前妻或前夫就可以继承遗产,而「这显然不是信托设立人所希望的」。同时,若是相关法律改变时,也要修改信托中的某些条款。 如果夫妻准备离婚,就不应设立遗产信托。 想好遗产规画 杨司说,与主流社会相比,美国华人做遗产规画的比率「还是偏低」。他说,这主要是有以下几个原因。一、许多人不知道要做遗产规画,因为中华传统文化中没有遗产规画这一项,而且很多人也避讳谈起。「遗产规画的很多任务具如信托等都是西方人发明出来
